4. Intellectual Property

You retain full ownership of any content you upload to Scholium, including documents, notes, and study materials (“Your Content”). We do not claim ownership of Your Content.
License to Scholium
By uploading Your Content, you grant Scholium a non-exclusive, worldwide, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service. This license ends when you delete Your Content or your account.
Scholium's Intellectual Property
The Service, including its design, features, software, and documentation, is owned by Scholium and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.
5. Acceptable Use
You agree not to use the Service to:
- Upload or share illegal, harmful, or offensive content
- Harass, abuse, or harm other users
- Impersonate any person or entity
- Upload content that infringes on intellectual property rights
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service or other accounts

Subscription Plans
Scholium offers free and paid subscription plans. Paid plans provide access to additional features and increased usage limits. Current pricing and features are available on our pricing page.
Billing
Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
Refunds
We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied with the Service within 14 days of your first payment, contact us for a full refund. After this period, refunds are not available for partial subscription periods.
Price Changes
We may change our prices from time to time. If we increase prices, we will notify you at least 30 days before the change takes effect, and the new price will apply at your next renewal date.
7. Termination
Termination by You
You may cancel your account at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of your current billing period.
Termination by Scholium
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide notice when possible, but immediate termination may occur for serious violations.
Effect of Termination
Upon termination, your right to use the Service will immediately cease. You may request export of your data before termination. We may retain certain data as required by law or for legitimate business purposes.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
Scholium is an educational tool designed to assist with studying. It is not a substitute for attending class, doing assigned work, or seeking professional academic guidance. Your academic success depends on many factors beyond our control.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHOLIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO SCHOLIUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Scholium is incorporated, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Scholium.
11. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
